These Terms of Service (“Terms”) govern your access to and use of the Sea Change Learning platform (“SCL,” “the Service”), operated by Soutenir Services LLC (“we,” “us,” “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 18 years of age to create an account and use the Service. If you are using the Service on behalf of an organization (such as a sports program, school, or team), you represent that you have the authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2. Description of Service
SCL is a mental performance training platform designed for athletes and coaches. The Service provides digital lessons, performance diagnostics, and coaching tools delivered through a web-based application. The Service is currently in private beta. Features, availability, and pricing are subject to change as the platform evolves. We do not guarantee uninterrupted or error-free operation during the beta period.
3. Acceptable Use
You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You may not: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use the Service to develop a competing product; (c) share your account credentials with unauthorized users; (d) attempt to gain unauthorized access to any part of the Service or its infrastructure; (e) use the Service in any manner that could damage, disable, or impair its operation; or (f) upload or transmit any malicious code, viruses, or harmful content.
4. Intellectual Property
All content, features, and functionality of the Service — including but not limited to lesson content, software, design, text, graphics, and trademarks — are owned by Soutenir Services LLC and are protected by intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service or its content. You may not reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy. You retain ownership of any data you submit to the Service. We will not sell your personal data to third parties.
6. Subscription and Payment
Access to the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be communicated to you at the time of purchase. During the private beta period, access may be provided at no cost or at reduced rates. Beta pricing does not guarantee future pricing. All fees are non-refundable unless otherwise stated in writing.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your specific requirements, that results obtained from the Service will be accurate or reliable, or that the Service will be available at all times. SCL is a training and educational tool. It is not a substitute for professional medical, psychological, or clinical advice.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUTENIR SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Soutenir Services LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections 4, 7, 8, 9, and 12 of these Terms shall survive termination.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of this page and, where appropriate, providing additional notice (such as email notification). Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Utah. You agree to waive any right to a jury trial or to participate in a class action.
